Terms of Service

Last updated October 28, 2026

These Terms of Service govern your use of HubSign, including hubsign.net and the HubSign application. By creating an account, sending a proposal, contract or invoice, or signing one, you agree to these terms.

1. The service

HubSign lets you build proposals, contracts and statements of work from blocks and templates, share them with your clients through a link where the client can choose optional items and sign, see when and how long each section was viewed, export them as PDF, keep a simple list of clients, and send invoices that clients can pay online. The service is operated by HubSign Inc., a corporation organized under the laws of the State of New York, with its principal office at 41 Bond Street, Floor 3, New York, NY 10012.

2. Your account

You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account. Sending proposals and invoices requires a verified account; we may decline or revoke verification at our discretion, for example to prevent impersonation.

3. Acceptable use

You may only send proposals, contracts and invoices you have the right to send and only to clients who expect them. You may not use HubSign to impersonate anyone, to collect signatures under false pretenses, to distribute malware or unlawful content, or to infringe the rights of others. We may suspend accounts that breach this section.

4. Electronic signatures and records

HubSign is designed so that signatures collected through it satisfy the federal Electronic Signatures in Global and National Commerce Act (ESIGN, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act as adopted by the states, including the New York Electronic Signatures and Records Act (State Technology Law, Article 3). Some documents, such as wills and certain court and family-law filings, may not be signed electronically. You are responsible for deciding whether an electronic signature is appropriate for your document. HubSign does not give legal advice.

Signers consent to do business electronically when they adopt a signature. A signer may ask the sender for a paper copy at any time. The audit trail records the time, IP address and device of each view and signature. When the last signer signs, the completed file is sealed: it is fixed by its SHA-256 fingerprint, which is printed on the audit certificate together with the fingerprint of the original upload. The fingerprint identifies the file and is not itself a signature.

4.1 Viewing records

When a client opens a shared proposal, HubSign records the time of each visit, the device type and how long each section was on screen, and shows this to the sender. The shared link tells the client that views are recorded. Senders may use these records only to follow up on their own proposals.

4.2 Payments

Online invoice payments are processed by a third-party payment processor under its own terms. HubSign does not store full card numbers. The sender is responsible for the amounts, taxes and refunds on its invoices.

4.3 Integrations

If you connect a CRM such as HubSpot, Salesforce or Pipedrive, you authorize HubSign to read and write the client and deal records needed for the sync. HubSign is not affiliated with those companies; their names are trademarks of their owners.

5. Fees

Paid plans are billed monthly in advance and can be cancelled at any time; cancellation takes effect at the end of the billing period. Signers never pay. We will give at least thirty (30) days' notice before changing the price of your plan.

6. Termination

Either party may end this agreement at any time. After termination you may download your signed proposals, contracts, invoices and certificates for thirty (30) days. We keep audit trails for up to ten (10) years where the law or a signer's rights require it.

7. Limitation of liability

To the fullest extent permitted by law, HubSign Inc.'s total liability arising out of these terms is limited to the fees you paid in the twelve (12) months before the claim. We are not liable for indirect or consequential damages.

8. Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Subject to section 8.2, any dispute will be brought exclusively in the state or federal courts located in New York County, New York, and both parties consent to personal jurisdiction there.

8.1 Consumer protection

Nothing in these terms limits any right you have under New York General Business Law § 349 or other consumer-protection law. New York residents may contact the Office of the New York State Attorney General, Bureau of Consumer Frauds and Protection.

8.2 Dispute resolution

The parties will first try to resolve any dispute through good-faith negotiation for sixty (60) days. If that fails, either party may submit the dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in New York County, New York. Each party waives the right to bring or join a class action or class arbitration.

9. Email communications

HubSign communicates by email only. By creating an account you agree to receive transactional emails at the address you provide. If you tick the optional consent box at sign-up, you also agree to receive occasional product emails.

Purpose

Transactional emails include address confirmation, password resets, proposal and signature requests and reminders, notices that a proposal was opened or a document was viewed, signed or completed, security alerts and service notices. Product emails describe new features.

Frequency

Transactional email volume depends on your activity, typically 4 to 20 messages a month for an active account. Product emails are limited to no more than two (2) per month.

Costs

Message and data rates may apply. HubSign does not charge for emails; your email or internet provider's standard data charges apply.

Unsubscribe and help

You can stop product emails at any time with the Unsubscribe link in the footer of any email or at hubsign.net/unsubscribe; the change takes effect within 24 hours. For help, reply to any email with HELP in the subject line, write to help@hubsign.net or call (646) 555-0193. Transactional emails continue while your account is open because the service depends on them.

Eligibility

You must be at least 18 years old. Consent to product emails is never a condition of using HubSign.
